These Terms of Service ("Terms") govern your use of zerodarkleads.ai (the "Site") and any services we provide through it (the "Services"), operated by Zero Dark Leads ("Zero Dark Leads," "we," "us," or "our").
By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

You must be at least 18 years old and able to enter into a contract. If you use the Site on behalf of a business, you confirm that you are authorized to accept these Terms for that business, and "you" means both you and that business.

The free assessment. You may enter your business website address and we will produce an assessment of how your business handles inbound calls and enquiries, together with an estimate of revenue that may be recoverable.
Consultations. You may book a consultation with us. Booking is handled by our scheduling provider.
The Services. If you become a customer, the software and services we provide will be governed by a separate written agreement. These Terms govern the Site and the free assessment only.

This section matters, so please read it.
The assessment is built from information that is publicly available about your business, from answers you give us, and from assumptions that are labeled as assumptions wherever they appear. It is an illustration, not a measurement of your business. We do not have access to your phone records, your calendar, your customer list, or your accounts, and nothing in the assessment is derived from them.
Specifically:
You should not make financial decisions solely on the basis of the assessment.
The assessment is not financial, legal, tax, or professional advice.

If you provide your mobile number and agree to receive text messages from us, the following applies.
Program description. Zero Dark Leads sends text messages containing the results of an assessment you requested, confirmations and reminders for consultations you booked, and replies to questions you asked us.
Consent. You consent by entering your own mobile number and agreeing on our form. Consent to receive text messages is not a condition of purchasing anything from us. We do not send text messages to numbers we did not receive from the person who owns them.
Frequency. Message frequency varies.
Cost. Message and data rates may apply. We do not charge for messages; your mobile carrier may.
Opting out. Reply STOP to any message to cancel. You will receive one confirmation and no further messages. Reply START to resubscribe.
Help. Reply HELP for help, or email [email protected].
Carriers. Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your carrier and is not guaranteed.
Privacy. Your mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy.

You agree not to:
We may suspend or block access to the Site at any time if we reasonably believe this section has been breached.

You keep ownership of anything you submit. You grant us a limited license to use what you submit for the purpose of providing the Site and the Services to you, and to keep records of consent as described in our Privacy Policy. You confirm that you have the right to submit it.

The Site, its content, design, text, graphics, software, and the Zero Dark Leads name and logo are owned by us or our licensors and are protected by intellectual property laws. These Terms do not transfer any ownership to you. You may not use our name or logo without our written permission.

The Site relies on third-party providers for hosting, scheduling, and message delivery, and may link to sites we do not control. We are not responsible for third-party services or their content, and their terms and privacy policies apply to your use of them.

The Site and the free assessment are provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or accuracy.
We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that any information shown is accurate or complete, or that any result will be achieved.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

To the fullest extent permitted by law, Zero Dark Leads and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of the Site or the free assessment, whether based in contract, tort, or any other theory, even if we have been advised of the possibility of those damages.
Our total liability for all claims relating to the Site or the free assessment will not exceed one hundred US dollars (US$100).
Nothing in these Terms excludes liability that cannot be excluded by law.

You agree to indemnify and hold harmless Zero Dark Leads from any claim, demand, loss, or expense, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.

We may change, suspend, or discontinue any part of the Site at any time. We may update these Terms; when we do, we will change the "Last updated" date. If the changes are material we will give more prominent notice. Continuing to use the Site after a change means you accept the updated Terms.

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws rules.
You and we agree to the exclusive jurisdiction of the state and federal courts located in Plymouth County, Massachusetts for any dispute that is not subject to arbitration, and each party waives any objection to venue there.

If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site and the free assessment.
